Terms and conditions

1. Parties

The provider is Alexis Zanini, a sole proprietorship trading as TAO Labs, Geneva (“TAO Labs”). The client is the business identified on the order form, acting for the purposes of its professional activity.

2. Service

TAO Labs designs, publishes, hosts and maintains the client's business website under the chosen plan:

• Essentiel: mobile-friendly website; domain name; secure hosting (HTTPS); one contact email address on the domain, forwarded to the client's existing mailbox; structured data for search engines, robots.txt and llms.txt files readable by search assistants, sitemap and submission to Google Search Console; legal notice and privacy policy; a link to the client's booking or ordering tool and, for restaurants, a QR code to the menu, supplied for printing; the business's Google Business Profile linked to the website; an annual website traffic summary before renewal; up to 4 change requests per month.
• Visibilité: everything in Essentiel, plus: the website in French and English; the business's Google Business Profile kept up to date (hours, photos, information) with one post per month; before each Geneva public holiday, a request to the client about opening hours, then updates to the website and listings; a reply to every Google review; a review display stand and a template message for the client's customers; the business's information kept up to date on Apple Maps, Bing, local.ch, search.ch, OpenStreetMap and Facebook, and for restaurants on Tripadvisor and TheFork; a monthly report (website traffic, calls and directions from Google, reviews, and what major search assistants say about the business); unlimited change requests within reasonable use.

3. Set-up

The client provides or authorises the necessary information: identity, address, opening hours, menu or prices, logo and photos. TAO Labs may also take photos during the set-up appointment with the client's consent. A first version is presented within 7 days of receiving these items. The website goes live after the client's written approval (an email is sufficient) and payment of the first invoice.

The client remains the owner of their listings (Google, Apple, Facebook, directories) and appoints TAO Labs as a manager; the client completes any verification these platforms require (code, call, video).

4. Change requests

The client emails requests to tao@taolabs.ch, any day of the week, from an address designated on the order form. Requests are handled within 2 working days (Essentiel) or 1 working day (Visibilité). A request concerns existing content: text, prices, menu items, opening hours, photos, links and temporary announcements (closure, promotion, event).

Excluded: a redesign, new feature (online shop, booking system, form), translation under the Essentiel plan, or long-form writing. These are quoted in advance. Each request beyond the Essentiel allowance costs CHF 15.

One-off options: extra page, CHF 45; additional review stand, CHF 39; dedicated photo session at the business (45 minutes, editing included), CHF 149; printed stickers and QR codes, quoted in advance (CHF 10 to 30).

For the client's security, requests from a non-designated address are not carried out, and changes to phone numbers, ordering links or legal information are confirmed by phone before publication.

5. Reviews (Visibilité plan)

TAO Labs replies to Google reviews on behalf of the business, in the tone agreed with the client, within 2 working days. A reply to a review of three stars or fewer is only published with the client's approval. TAO Labs never publishes, edits or removes reviews. The stand invites all of the business's customers, with nothing offered in return: Google's policy prohibits offering incentives for reviews, discouraging negative reviews or soliciting only satisfied customers.

6. Search engines and search assistants

TAO Labs implements recognised technical measures to help search engines and search assistants find and correctly understand the website. This is an obligation to use appropriate means: no search engine ranking or mention by a search assistant can be guaranteed, as these services independently determine their results.

7. Prices and payment

Prices are those on the order form, in Swiss francs. TAO Labs is not VAT-registered and charges no VAT. There are no set-up fees, and the client pays nothing before seeing and approving the website: the first invoice is sent on approval. The domain is registered on receipt of payment, and the website goes live within the following working day.

• Annual payment (two months free): the annual amount is invoiced on website approval, then on each anniversary of launch.
• Monthly payment: the monthly price is billed each month in advance, with the first month invoiced on website approval.

Invoices are QR invoices due within 30 days. If payment is late, a reminder is sent. If payment remains outstanding 30 days after the due date, and following a final notice, TAO Labs may suspend the website until payment. Statutory late-payment interest applies.

8. Satisfaction guarantee

During the 30 days following launch, the client may cancel by email without giving a reason. The amount paid is refunded in full and the website is taken down.

9. Term and termination

The contract lasts 12 months from launch. It then renews automatically for successive 12-month periods unless cancelled by email at least one month before the end of the term. Either party may terminate immediately if the other party commits a serious breach and fails to remedy it within 15 days of written notice.

Price changes are announced at least two months before renewal; the client may then cancel effective at the end of the current term.

10. Ownership

The domain is registered in the client's name and remains their property. Text, photos, logos and trademarks provided by the client remain their property. The client warrants that they hold the necessary publication rights and authorises TAO Labs to use these materials for the website. The client receives a non-exclusive, free and perpetual right to use the pages of their website, including with another provider. TAO Labs retains ownership of its templates, tools and methods.

11. End of the contract

At the end of the contract, on a request made within 30 days, TAO Labs provides the client with the website files and the access needed to transfer the domain. The website is then removed from TAO Labs' hosting.

12. Client obligations

The client provides accurate information and checks the website before approval. They remain responsible for content published at their request, particularly prices, allergen information and other notices required for their business.

13. Availability and backup

The website is hosted by Cloudflare, Inc. (United States) on a global infrastructure. TAO Labs makes its best efforts to keep the website available and corrects reported incidents within one working day. Every version is saved, and an earlier version can be restored at any time.

14. Data protection

TAO Labs processes client data (contact details, correspondence and billing) to fulfil the contract, in accordance with the Swiss Federal Act on Data Protection. For website hosting, TAO Labs acts as the client's data processor and uses Cloudflare, Inc., a participant in the Swiss-U.S. Data Privacy Framework. The website uses no cookies, audience analytics or advertising.

TAO Labs uses language models (LLMs) to prepare content and changes; a person approves each publication. Personal contact details contained in the client's messages are not sent to those tools.

15. Liability

TAO Labs is liable for direct damage it causes, up to the amount paid by the client during the preceding 12 months. Liability for indirect damage, lost profits and interruptions to third-party services (delivery platforms, search engines, hosting provider) is excluded, except in cases of intent or gross negligence.

16. Reference

Unless declined on the order form, the website footer displays “Website by TAO Labs” with a link, and TAO Labs may cite the website as a reference.

17. Applicable law and jurisdiction

The contract is governed by Swiss law. The courts of Geneva have jurisdiction. Communications under these terms, including termination, may validly be made by email.
